Virtual Data Room FAQ Hub
What Is ISO 27001?
ISO/IEC 27001 is an international standard for information security management systems, commonly called an ISMS.
Rather than focusing on one security feature, the standard provides a framework for how an organization identifies information security risks, establishes controls, manages those risks, and continually reviews and improves its security practices.
For organizations evaluating a virtual data room, ISO 27001 certification can provide evidence that the provider manages information security through a documented, independently reviewed system.
What Does ISO 27001 Cover?
ISO 27001 looks at information security as an organizational process.
That can include areas such as access control, risk management, security policies, asset management, incident response, supplier relationships, business continuity, and other controls related to protecting information.
The standard does not mean every certified company uses exactly the same technology.
Instead, organizations identify relevant risks and establish controls appropriate to their environment.
Certification is generally performed by an independent accredited certification body.
That external review helps distinguish a formal information security management program from a provider simply describing itself as secure.
Why Does ISO 27001 Matter for a VDR?
Virtual data rooms may contain financial records, contracts, intellectual property, employee information, customer data, strategic plans, and other highly confidential materials.
During M&A, fundraising, legal reviews, licensing, or other sensitive projects, that information may be accessed by many internal and external participants.
Organizations evaluating a VDR therefore need to understand not only the product’s individual security controls but also how the provider manages security across its operations.
ISO 27001 can be one signal that information security is handled systematically.
Certification Is Not the Entire Security Evaluation
ISO 27001 should not be treated as proof that every security risk has been eliminated.
A company may still need to evaluate encryption, authentication, permissions, audit trails, document controls, privacy practices, data handling, and other factors relevant to the transaction.
The certification also needs to be current and relevant to the services being evaluated.
This fits the broader ShareVault messaging principle that security claims should be supported rather than treated as marketing language. 02_ShareVault_Messaging_Bible
For deal teams, the value of ISO 27001 is therefore not the logo itself.
It is the independent evidence that the provider has established a structured system for identifying and managing information security risks.
When combined with strong access controls, activity visibility, authentication, and document protection, that can help organizations evaluate whether a VDR is appropriate for confidential, high-stakes business processes.
